Terms of Service
Last updated: 26 August 2026
These terms govern the services Phantom Acquisition provides. By booking a call, signing a proposal, or paying an invoice, you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to bind that company.
1. Who we are
Phantom Acquisition is a content production business operated by {{LEGAL_ENTITY}} ("Phantom Acquisition", "we", "us"). "You" and "Client" mean the person or company engaging us.
2. What we do
We run a done-for-you content system for creators, coaches, and founders. A standard engagement covers strategy, scripting, editing, thumbnails, captions, publishing, and optimisation across YouTube and Instagram.
A typical monthly scope is 30 to 90 short-form videos and up to 4 long-form YouTube videos. The exact scope, deliverable counts, turnaround times, and price for your engagement are set out in the proposal or statement of work we agree with you. Where anything in that proposal conflicts with these terms, the proposal controls.
3. Pricing
Engagements start at USD $5,000 per month. Some engagements also include a revenue share, which is stated in your proposal if it applies to you. All prices are in US dollars and exclusive of any taxes, bank charges, or currency conversion fees, which are your responsibility.
We do not sell a self-serve product from this website. Every engagement begins with a call and a written proposal, so you know the exact price and scope before any payment is taken.
4. Term and billing
- Engagements run for a minimum initial term, stated in your proposal, typically 3 or 6 months.
- The retainer is billed monthly in advance. The first payment is due before work begins.
- Each subsequent payment is due on the same day of each following month.
- After the initial term, the engagement continues month to month until either side cancels under section 9.
If a payment is more than 7 days late, we may pause all work and publishing until the account is current. Work paused for non-payment does not extend your term or entitle you to a credit.
5. What we need from you
Content production is collaborative. We cannot deliver on time if we are waiting on you. You agree to:
- Attend the agreed recording sessions and deliver raw footage on schedule
- Return script and edit feedback within the review window set in your proposal
- Give us the access we need to the platforms we publish on for you
- Make sure anything you send us is yours to use, including footage, music, logos, and client names
- Give us accurate information about your offer and your business
If you miss a deliverable deadline on your side, timelines shift by at least the length of the delay. Deliverables in a given month that go unused because we were waiting on you do not roll over indefinitely, and are forfeited after 60 days.
6. Revisions
Scripts include one review round. Edits include the number of revision rounds stated in your proposal. Revisions mean changes within the agreed brief. A change of direction after approval, or a request outside the original brief, is new work and may be quoted separately.
7. Ownership of the work
- Your material stays yours. Footage, brand assets, and anything you supply remain your property.
- Finished deliverables become yours once the invoice covering them is paid in full. On payment we assign to you all rights in the final videos, scripts, and thumbnails produced for you.
- Our working methods stay ours. Our internal systems, templates, frameworks, and processes remain our property. Nothing here transfers those to you.
- Third-party assets such as stock footage, music, and fonts are licensed, not sold. You get the benefit of the licence we obtained, on that licence's terms.
8. Showing the work
Unless you tell us otherwise in writing, we may show work we produced for you in our portfolio, case studies, and marketing, including performance figures. If you would rather we did not, email us and we will remove it.
9. Cancellation
Cancellation and refunds are covered in full in our Refund and Cancellation Policy, which forms part of these terms. In short: you may cancel at any time with 30 days' written notice, effective at the end of your current paid month, and the minimum initial term still applies.
10. Confidentiality
Each side will keep the other's non-public information confidential and use it only to perform or receive the services. This applies to your revenue figures, offer details, unreleased content, and strategy. It survives the end of the engagement.
11. No guarantee of results
We do not guarantee views, followers, leads, sales calls, or revenue. We guarantee the work: the deliverables in your scope, produced to a professional standard and delivered on the agreed schedule. Content performance depends on your offer, your market, your delivery on camera, and platform algorithms we do not control. Any figures shown on this website are results achieved by specific clients and are not a promise of what you will get.
12. Limitation of liability
To the maximum extent the law allows, neither side is liable to the other for indirect, incidental, special, or consequential loss, including lost profits, lost revenue, or lost data.
Our total liability arising out of or relating to the engagement is limited to the total fees you paid us in the three months immediately before the event giving rise to the claim. Nothing in these terms limits liability for fraud, wilful misconduct, or anything that cannot lawfully be limited.
13. Indemnity
You will indemnify us against any third-party claim arising from material you supplied to us, or from claims you asked us to publish about your product or service, where that material or claim infringes someone's rights or breaks the law.
14. Suspension and termination for cause
Either side may terminate immediately if the other commits a material breach and does not fix it within 14 days of written notice. We may suspend or terminate immediately, with no refund, if you use our work for anything unlawful, deceptive, or in breach of a platform's rules, or if you abuse or harass our team.
15. Independent contractor
We are an independent contractor. Nothing here creates an employment relationship, partnership, joint venture, or agency between us.
16. Force majeure
Neither side is liable for delay or failure caused by events beyond reasonable control, including natural disaster, war, civil unrest, sustained internet or power outage, or platform-wide failure. Payment obligations already incurred are not excused.
17. Governing law
These terms are governed by the laws of {{JURISDICTION}}, and the courts of {{JURISDICTION}} have exclusive jurisdiction over any dispute. Before starting proceedings, both sides agree to attempt to resolve the matter in good faith by direct discussion for 30 days.
18. General
- These terms, together with your proposal and our Refund Policy, are the entire agreement between us.
- If any clause is found unenforceable, the rest stays in force.
- Failing to enforce a clause is not a waiver of it.
- You may not assign the agreement without our written consent.
- We may update these terms; the version in force is the one published here on the day you pay.
